JOB SUMMARY:
The Manager, Legal Operations will be responsible for assisting the legal team with global compliance with the laws and regulations applicable to Novocure. In particular, the Manger, Legal Operations will be involved in SEC reporting and corporate governance activities. The Manager, Legal Operations will also act as a liaison on certain high priority, cross-functional projects.
This is a full time, exempt position located at our Wayne, Pennsylvania office and reports to the Vice President, Lead Corporate and Securities Counsel.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Assist in ongoing securities laws compliance, including the preparation and filing of annual and quarterly SEC disclosure documents, proxy statements, overseeing Section 16 filings and insider trading program maintenance
- Coordinate logistics for Annual Shareholders Meetings
- Coordinate support for the board of directors and its subcommittees, which includes preparing and distributing materials and drafting resolutions and consents and assisting with meeting logistics and coordination of director travel
- Assist with monitoring, updates and education relating to corporate governance policies
- Maintain the corporate minute books and related records for the company's Jersey, U.S. and Canadian subsidiaries and manage registered agent processes in the U.S.
- Liaison with outside independent auditors to assist with auditing activities
- Act as cross-functional liaison for the legal team on certain high priority projects as assigned by the Senior Counsel Team and the General Counsel
- Proactively identify and suggest opportunities across Legal systems and processes to drive continuous improvement and advancement of the goals of the Legal Department
- Assist tax group with coordination of filing state annual and other filings
- Support administrative matters for the General Counsel
QUALIFICATIONS/KNOWLEDGE:
- Prefer B.A. or paralegal certificate
- 10+ years relevant work experience, at least 5 years of which was spent in-house in a public company legal department
- Must have a positive, "can do" attitude
- Be able to communicate clearly and effectively
- Always willing to go the extra mile to complete projects on schedule
- Can accept change and is flexible toward change. Can redirect work and priorities to be in alignment with the strategic corporate goals. Counted on to achieve objectives and be flexible to take on other tasks when required
- Be able to make sound judgments and escalate when in doubt
- Handle multiple projects and priorities to meet required deadlines. Ability to plan ahead and foresee company needs
- Adhere to a high level of professionalism by demonstrating ethical behavior
- Work with others in contributing to the overall success of the company
- Ability to effectively communicate and work closely with senior management
- Notary Public experience or willingness to become a Notary Public preferred
- Working knowledge of major office software including Word, Excel, PowerPoint, and SharePoint
OTHER:
- Ability to lift 20 pounds
- 10% travel, including internationally (must have valid passport)
