Position Title: Legal Counsel - Transactional Location: St. Paul, Minnesota (Hybrid) Position Overview The Legal Counsel - Transactional is responsible for supporting the business and Law Department with transactional legal matters affecting the company, specifically within the North American region of a multi-national environment. The ideal candidate will have 3-5 years of commercial legal experience, preferably with a background in the medical industry. Experience in providing legal advice on medical-related contracts and regulations is highly valued. The candidate should be capable of collaborating with both legal and business stakeholders, offering expertise in areas such as advertising and marketing, intellectual property, compliance, data protection, FDA regulations, and corporate governance. This position reports to the Senior Legal Counsel, offering significant exposure to a wide range of projects and development opportunities in a fast-paced, commercial environment. Primary Responsibilities
- Under minimal supervision, draft, review, and provide advice on various transactional matters, including confidentiality contracts, agreements with customers, suppliers, distributors, consulting agreements, intellectual property licensing, and joint development agreements.
- Draft, monitor, and revise legal templates as necessary.
- Serve as the primary legal point of contact for one or more of HBF's Global Business Units, with a focus on the medical adhesive market segment.
- Proactively provide legal support to business functions such as sourcing, operations, supply chain, R&D, tax, finance, and audit.
- Participate in business meetings to stay aligned with evolving business needs.
- Advise on legal risks and provide support for corporate/project work, including joint ventures, acquisitions, and regional expansion projects.
- Manage outside counsel as needed.
- Assist with training and improving the contract request and review process across all levels within the company.
- Develop and deliver effective training on various legal topics.
- Support strategic initiatives from H.B. Fuller's Global Law Department.
Minimum Requirements
- J.D. required.
- Bachelor's degree or equivalent relevant experience.
- Admitted as a lawyer in at least one state (MN preferred).
- 3-5 years of transactional legal experience, including commercial contract review and drafting.
- Experience providing legal advice within the medical industry.
- Ability to understand new or changing laws and work with Law Department attorneys to ensure compliance.
- Strong organizational, analytical, and communication skills (both oral and written).
- Excellent attention to detail and accuracy.
- Ability to manage multiple matters simultaneously under deadline pressure.
- Strong relationship-building and conflict management skills.
Preferred Requirements
- Fluency in Spanish or Portuguese.
- Experience with Artificial Intelligence (AI).
- Familiarity with research databases such as Westlaw, Lexis/Nexis, or similar.
- Proficiency in Microsoft Word, Outlook, Excel, SharePoint, and PowerPoint.
Physical Environment & Travel
- Standard office environment (hybrid working option available).
- Travel required up to 25% of the time.
- Occasional conference calls outside of core working hours to accommodate global time zones.
Pay is based on several factors including but not limited to education, work experience, certifications, and geographic location.
The salary for this role is $114,800 - $150,000.
