Job Title: Junior In-House Counsel
Location: Rockaway, NJ
Job Type: Full-Time, Exempt
Overview:
A global leading company in the consumer electronics industry is seeking a highly motivated and skilled In-House Counsel. The Junior In-House Counsel provides legal support and assistance to various departments within the company.
Assists in the development, implementation, and maintenance of the company's legal and compliance programs.
Essential Duties and Responsibilities include but not limited to:
Legal Research & Analysis:
* Conduct in-depth legal research on a wide range of legal and regulatory issues impacting the company's business, including:


o Antitrust and Competition Law: Analyze market dynamics, competitor behavior, and potential antitrust risks associated with mergers and acquisitions, pricing strategies, and other business activities.
o Consumer Protection Laws: Research and analyze federal and state consumer protection laws, including the FTC Act, state consumer protection statutes, and advertising regulations. Advise on compliance with regulations related to deceptive or unfair trade practices, product safety, and data security.


o Data Privacy and Cybersecurity Laws: Stay abreast of evolving data privacy laws (e.g., GDPR, CCPA, state privacy laws) and cybersecurity regulations (e.g., NIST Cybersecurity Framework). Conduct risk assessments and advise on data protection measures, incident response protocols, and compliance with applicable regulations.
o Intellectual Property Law: Conduct research on trademark, copyright, patent, and trade secret law. Assist in identifying, protecting, and enforcing the company's intellectual property rights.
o Contract Law: Research and analyze contract law principles applicable to various types of agreements, including licensing agreements, service agreements, and distribution agreements.
o Environmental Regulations: Research and analyze environmental laws and regulations, including those related to waste disposal, emissions, and environmental impact assessments. Advise on compliance with environmental permits and regulations.


Contract Management & Review:
* Draft, review, and negotiate a variety of contracts, including:


o Vendor agreements (e.g., service contracts, supply agreements)
o Customer agreements (e.g., sales contracts, licensing agreements)
o Employment agreements (e.g., offer letters, employee handbooks)
o Confidentiality agreements
o Non-disclosure agreements
o Intellectual property licenses
o Leases
o Joint venture agreements


* Maintain and update contract databases, ensuring timely execution, compliance, and renewals.
* Assist in the management of contract disputes and claims.
Compliance:
* Assist in the development, implementation, and maintenance of company-wide compliance programs.
* Monitor and analyze changes in relevant legislation and regulations.
* Conduct internal compliance audits and investigations.
* Advise on compliance risks and develop mitigation strategies.
* Provide training and guidance to employees on compliance matters, including data privacy, cybersecurity, anti-corruption, and other relevant areas.
Litigation Support:
* Assist in the management and support of litigation matters, including:


o Gathering and organizing relevant documents (e.g., emails, contracts, financial records)
o Assisting with discovery requests (e.g., drafting interrogatories, responding to requests for production)
o Scheduling and attending depositions and court hearings
o Preparing legal documents for court filings (e.g., pleadings, motions)
o Assisting in the development of litigation strategies.


Other:
* Assist in projects related to internal investigations, due diligence reviews, and corporate governance matters.
* Maintain legal files and databases.
* Schedule meetings and appointments.
* Prepare presentations and reports for internal and external audiences.
* Provide general legal support to other departments within the company.
Qualifications:
* Juris Doctor (J.D.) degree from an accredited law school.
* 1-3 years of relevant legal experience, in-house or at a law firm.
* Strong research, writing, and analytical skills.
* Excellent communication and interpersonal skills.
* Ability to work independently and as part of a team.
* Strong organizational and time-management skills.
* Proficiency in Microsoft Office Suite.
* Experience with legal research databases (e.g., Westlaw, LexisNexis) strongly preferred.

The base pay range above represents the low and high end of the base compensation range we reasonably expect to pay for this position. Actual base compensation will vary and may be above or below the range based on various factors including, but not limited to, geographic location, actual experience, and job performance. The range listed is just one component of the total compensation package for our employees.
